Dispense is a fast, convenient, cashless, and trackable system that streamlines the cannabis retail process for consumers and works seamlessly with inventory systems used by cannabis retailers. The Dispense Retail Platform consists of: 1) the Dispense Machine (located in all instances within the premises of a licensed retailer); and 2) the Dispense Software, which is linked with the retailer’s inventory/point-of sale system (POS). Dispense’s system is only available for use at state-licensed cannabis retailers with active, compliant POS systems.

RETAILER SIGNS DISPENSE TERMS OF USE
The Retailer signs the Dispense Vending Machine Lease Agreement and the Dispense Software Agreement.

DISPENSE INSTALLS DISPENSE MACHINE AT RETAILER’S PREMISES
Dispense installs a Dispense Machine inside the Retailer’s licensed premises and transfers the keys to that Dispense Machine to the Retailer.

RETAILER IS LINKED WITH THE PAYMENT PROCESSOR
Dispense links the Retailer with the Payment Processor so that the Retailer is paid upon a sale of products.

INTEGRATE RETAILER’S PRODUCTS WITH DISPENSE RETAIL PLATFORM
Using the Dispense Retail Platform, the Retailer creates a Merchant Site containing the Retailer’s name and license information. The Merchant Site interfaces with Retailer’s POS system so that the Master Site and the Merchant Site accurately list only the products available for purchase from the Retailer. All products are chosen by the Retailer.

DISPENSE PROVIDES REPORTS OF TRANSACTIONS SO RETAILER CAN LOG TRANSACTIONS IN METRC SYSTEM
The Retailer connects its POS system, which is already connected with the Metrc system and records the actions taken by the Retailer in Metrc, to the Dispense Retail Platform. At the end of each business day, the POS system downloads a report of the transactions completed using the Dispense Machine that day from the Dispense Retail Platform and logs those transactions in Metrc in the same way that it logs other transactions occurring on the Retailer’s premises.

RETAILER LOADS DISPENSE MACHINE AT BEGINNING OF DAY
At the beginning of each day, the Retailer will load the Dispense Machine with products sufficient to satisfy all of the day’s sales. Only products that are packaged in OLCC-approved exit packaging may be loaded into the Dispense Machine.

RETAILER CONFIRMS AGE OF CUSTOMER AT ENTRY TO RETAIL PREMISES
The Retailer checks the ID of the customer who arrives to use the Dispense Machine upon entry to the retail premises, as it would any other customer arriving at the premises. The Dispense Retail Platform has already ensured that the customer placing the order online is 21 years of age or older through the use of Dispense’s third-party age verification partner.

CUSTOMER SALE AND NOTICE TO METRC AND RETAILER’S INVENTORY/POS
SYSTEM
The Dispense Retail Platform logs the information required by Metrc when a customer presents a valid QR code to the Dispense Machine and products are transferred to the customer. At the end of each business day, the POS system downloads a report of the transactions completed using the Dispense Machine that day from the Dispense Retail Platform and the POS system uses that information to log the transaction in Metrc as it would a standard sale.

PAYMENT PROCESSOR PAYS RETAILER AMOUNT OF SALE
When a customer presents a valid QR code to the Dispense Machine and products are transferred to the customer, the Dispense Retail Platform alerts the Payment Processor and the Payment Processor releases the amount corresponding to that QR code to Retailer.

From Retailer’s Perspective

REGISTRATION WITH DISPENSEGO.COM
The customer logs on to dispenseGO.com (the “Master Site”) and completes Dispense’s age verification process.1 After a customer verifies that they are age 21 or over (or 18 years of age or older with a valid medical card), they are prompted to agree to the terms of Dispense’s User Agreement. Next, the customer creates an account with a third-party payment processor (“Payment Processor”) that collects and verifies the customer’s bank account information. The customer will also be given the option of providing documentation demonstrating that the customer is an Oregon Medical Marijuana Patient.

CUSTOMER SHOPS FOR PRODUCTS LOCATED AT OREGON RETAILERS
The customer shops for cannabis products carried by participating state-licensed retailers in Oregon, using the online search function at the Master Site. Customers will have the ability to search by product type, price and location.

CUSTOMER CHOOSES PRODUCT AND IS TAKEN TO MERCHANT SITE
The customer selects the product they wish to order and (if multiple retailers using the Dispense platform carry the same product) the state-licensed retailer (“Retailer”) at which the customer wishes to pick up the product. The customer is then taken to a Retailer-specific site (the “Merchant Site”), developed by the Retailer using the Dispense Retail Platform. Each Merchant Site contains the Retailer’s name and license information.

CUSTOMER ELECTS TO PLACE ORDER
The customer’s selected product is added to the customer’s cart. The customer’s bank account has already been linked. The customer chooses the option to place an order. If the customer has not already done so, they will be required to provide an approved form of age verification documentation. Once the customer’s age has been verified, the Payment Processor verifies that sufficient funds exist in the customer’s linked bank account and processes the transaction. If the customer has presented valid documentation that they are an Oregon Medical Marijuana Patient, that is factored into the price. Because the Merchant Site interfaces with the Retailer’s POS system, the system will reject the order if the customer has exceeded their daily usage limit. The Dispense Retail Platform will also track the purchases made by a customer using all Merchant Sites to ensure that a customer’s purchases made through any Merchant Site do not exceed that customer’s daily usage limit.

CUSTOMER RECEIVES EMAIL WITH QR CODE
When the customer places an order through the Merchant Site, the customer receives an email from Dispense containing: 1) an Order Summary (listing the name and license number of the Retailer); and 2) a QR Code. The QR code will be used by the customer at the Dispense Machine to pick up their order.2 QR codes remain active for 24 hours. If the customer does not complete their purchase at the retailer within 24 hours, the QR code becomes inactive and the customer is refunded the purchase price .

CUSTOMER ARRIVES AT RETAILER
The customer arrives at the Retailer within 24 hours and their government-issued ID is checked by an employee of the Retailer.

CUSTOMER PRESENTS QR CODE TO MACHINE
The customer approaches the Dispense Machine located within the Retailer premises. The customer presents the QR code that they have received from Dispense to the reader portion of the Dispense Machine.3 The Dispense Machine verifies that the QR code is a valid, active QR code associated with the Retailer.

DISPENSE MACHINE DISPENSES CUSTOMER’S PRODUCT
Upon verification of the QR code, the Dispense Machine dispenses the product corresponding to the QR code presented by the customer. All products available for purchase through use of the Dispense Machine are packaged in OLCC-approved exit packaging. The customer picks up the product from the retrieval area of the Dispense Machine.
